Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MEMLEX website and services (“Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

MEMLEX provides study tools including flashcards, spaced repetition scheduling, analytics, and AI‑assisted generation and parsing of content you provide (e.g., notes, practice items). Generated study materials are provided for educational use only and are not official guidance from any exam boards, publishers, or institutions.

2. Accounts and Eligibility

• You must be at least 16 years old to use the Service.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate information and promptly update it as necessary to keep it accurate and complete.

3. Acceptable Use

• Do not upload content that violates law or infringes third‑party rights.
• No harassment, abuse, reverse engineering, or security testing without permission.
• No automated scraping or bulk extraction except via documented, permitted APIs.

4. Your Content

You retain ownership of content you upload. You grant MEMLEX a worldwide, non‑exclusive, royalty‑free license to host, process, analyze, and display your content solely to provide and improve the Service and to comply with legal obligations. You represent that you have all necessary rights to grant this license.

5. AI Features

Some features use AI to transform your inputs (e.g., generating flashcards or parsing MCQs). Results may contain errors; you should review all generated content before use. You are responsible for how you use the outputs.

6. Subscriptions, Billing, and Taxes

MEMLEX uses Paddle as our merchant of record and payment processor. Paddle handles payment collection, billing, invoicing, receipts, chargebacks, and applicable tax calculation and remittance. By subscribing, you agree to Paddle’s buyer terms and policies. You authorize recurring charges until you cancel. Pricing, features, and billing intervals are shown at checkout.

7. Cancellations

Cancel via the billing portal at any time to stop future renewals. Access remains through the end of the prepaid term unless otherwise stated.

8. Intellectual Property

The Service, including software, UI, and trademarks, is owned by MEMLEX or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are granted by implication or otherwise.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMLEX AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON‑INFRINGEMENT. We do not warrant that outputs will be accurate or that the Service will be uninterrupted, secure, or error‑free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMLEX, ITS AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. Our aggregate liability arising from or relating to the Service will not exceed the amounts paid by you for the Service in the 12 months before the event giving rise to liability.

11. Privacy

Your use of the Service is subject to our Privacy Policy.

12. Termination

We may suspend or terminate access if you violate these Terms or if required by law. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

13. Modifications

We may update these Terms from time to time. Material changes will be notified via the Service or email. Your continued use after the changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which MEMLEX is organized, without regard to conflict of law rules, and you consent to the exclusive jurisdiction of the courts located there.
